These Terms of Service ("Terms") form a binding agreement between you ("Client" or "you") and Brevity Solutions LLC, a Virginia limited liability company ("Brevity," "we," or "us"), governing your use of brevity.solutions, the Brevity client portal, and the design, build, and hosting services we provide.
By signing a Statement of Work ("SOW"), creating an account on the client portal, or otherwise engaging us for services, you agree to these Terms. If you are accepting these Terms on behalf of a company, you represent that you have authority to bind that company. If you do not agree to these Terms, do not use our services.
1. The services
Brevity designs, builds, and hosts marketing websites and related digital properties for small and medium-sized businesses. The standard package consists of (a) a one-time website build delivered against a fixed scope and price, and (b) an ongoing monthly hosting plan that covers infrastructure, routine updates, security patches, uptime monitoring, and reasonable support requests.
The exact deliverables, timeline, scope, and any custom terms for your engagement are recorded in your SOW. If anything in an SOW conflicts with these Terms, the SOW controls for that engagement.
2. Accounts
To access the client portal you must create an account associated with a valid business email address. You are responsible for keeping your credentials confidential and for all activity that occurs under your account. Notify us immediately at caleb@brevity.solutions if you suspect unauthorized access. Accounts are non-transferable without our written consent.
3. Fees and payment
Brevity charges (a) a one-time build fee, typically between $250 and $600 depending on scope, and (b) a recurring hosting subscription of $75 per month. Exact fees and any optional add-ons are set out in your SOW.
- The build fee is invoiced at the time the SOW is signed and is due before development begins, unless your SOW specifies a different schedule.
- The monthly hosting subscription begins on the date the built site goes live ("Launch Date") and renews each month on the same calendar day.
- All fees are stated in U.S. dollars and exclude any applicable taxes, which are your responsibility.
- Late payments accrue interest at the lesser of 1.5% per month or the maximum rate permitted by Virginia law.
Payments are processed by Stripe, our payment processor. By providing a payment method you authorize Brevity to charge that method for all fees due under your SOW. ACH bank-debit payments are authorized through Plaid; by linking a bank account through Plaid you authorize recurring ACH debits in accordance with NACHA rules and your SOW. You may revoke this authorization at any time by giving us at least three business days' written notice; revocation does not relieve you of obligations to pay outstanding fees.
4. Trial period and refunds
Hosting trial. Every new hosting subscription includes a thirty-day trial period that begins on the Launch Date. If you cancel during the trial, you will not be charged for the first month of hosting. The build fee is not part of the trial.
Build fee. If you are not satisfied with the delivered build, you may request a full refund of the build fee within fourteen days of delivery. After the fourteenth day, the build fee is non-refundable. Refunds are issued to the original payment method within ten business days of approval.
Hosting. If you cancel a hosting subscription after the trial, we will refund the unused portion of the current billing month on a pro-rata basis based on the number of full days remaining in the period. Hosting cancellations take effect at the end of the day on which we receive notice.
Refund requests must be sent to caleb@brevity.solutions. Brevity reserves the right to decline refund requests that are based on the use of our services in violation of these Terms.
5. Client materials and content responsibility
You ("the Client") are solely responsible for the content you provide for your website: copy, images, logos, product descriptions, claims, contact details, and any third-party materials you supply. By providing content to Brevity, you represent and warrant that you own the content or hold all necessary rights, licenses, and consents to use it, that the content is accurate, and that its publication will not infringe any third-party right or violate any law.
You agree to indemnify and hold Brevity harmless from any claim, loss, damage, or expense (including reasonable attorneys' fees) arising out of (a) content you provide, (b) your use of the website we build for you, or (c) your breach of these Terms.
6. Intellectual property
Client content. You retain all right, title, and interest in the materials you provide and in the final, published website that Brevity delivers, including any custom copy, imagery, and design tailored specifically for your business. Brevity assigns to you all rights it holds in those custom deliverables, on the condition that all fees due under your SOW have been paid in full.
Brevity tools. Brevity retains all right, title, and interest in our templates, component libraries, internal tooling, design systems, build pipelines, source-code utilities, and the Brevity client portal itself. Where these tools are incorporated into the website we deliver to you, you receive a perpetual, royalty-free, worldwide, non-exclusive license to use them as part of your delivered website. You may not redistribute Brevity tools as a standalone product or use them to build websites for third parties.
Portfolio rights. Unless your SOW specifies otherwise, Brevity may include a screenshot or short description of your website in our portfolio, case studies, and similar marketing materials, and may display your business name and logo as a Brevity client. You may withdraw this permission at any time by writing to us at caleb@brevity.solutions.
7. Acceptable use
You agree not to use the services, the client portal, or any website we host on your behalf to:
- Violate any law, regulation, or third-party right, including intellectual-property, privacy, and consumer-protection laws.
- Distribute malware, phishing pages, or any code or content designed to compromise others' systems or data.
- Send unsolicited bulk email or operate any service that violates the CAN-SPAM Act or similar laws.
- Publish content that is unlawful, defamatory, harassing, fraudulent, or that exploits minors.
- Resell, sublicense, or otherwise commercialize Brevity's hosting infrastructure beyond serving your own website.
- Probe, scan, or otherwise test the vulnerability of any Brevity system without our prior written consent, or attempt to bypass any access control or rate limit.
- Use automated systems to interact with Brevity services in a manner that exceeds normal human use or that disrupts service for other clients.
We may suspend or terminate services for any client we reasonably believe is violating this section, with notice where practicable.
8. Service availability
Brevity targets 99.9% monthly uptime for hosted client websites, measured by our hosting provider. We may perform scheduled maintenance from time to time, and we will give reasonable notice for any maintenance that we expect to cause downtime. The services are otherwise provided on an "as is" and "as available" basis, without any uptime, performance, or availability guarantee. Disruptions caused by force majeure events, third-party providers (including Vercel, Supabase, Stripe, Plaid, Resend, Namecheap, and the public internet), or actions of the Client are not counted against the uptime target.
9. Disclaimer of warranties
To the fullest extent permitted by applicable law, Brevity disclaims all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Brevity does not warrant that the services will be uninterrupted, error-free, secure against every threat, or that any defect will be corrected. You assume sole responsibility for the business outcomes you achieve using our services.
10. Limitation of liability
To the fullest extent permitted by law, Brevity's total aggregate liability arising out of or relating to these Terms or the services, regardless of the cause of action and whether based in contract, tort, strict liability, or otherwise, is limited to the amount of fees actually paid by you to Brevity in the twelve months preceding the event giving rise to the claim. In no event will Brevity be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the foregoing limitations may not apply to you in part.
11. Termination
Either party may terminate a hosting subscription at any time for convenience by giving written notice through the client portal or by emailing caleb@brevity.solutions. Termination by the Client takes effect at the end of the day on which we receive notice and is subject to the refund terms in section 4.
Brevity may suspend or terminate the services immediately if (a) you fail to pay fees that are more than thirty days past due, (b) you breach section 7 (Acceptable use), (c) you breach any other term of these Terms or your SOW and do not cure the breach within fifteen days of written notice, or (d) we are required to do so by law.
On termination of a hosting subscription, Brevity will provide a one-time export of your final website source code and content on request, at no charge, within thirty days of termination. After thirty days, we may delete the website code and any associated client materials from our active systems. Sections that by their nature should survive termination (including 5, 6, 9, 10, 12, and 13) will survive.
12. Governing law
These Terms and any dispute arising out of or relating to them or the services are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of- laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
13. Disputes and arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms, the services, or any SOW will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration will be conducted by a single arbitrator in Fairfax County, Virginia, or by video conference at the arbitrator's discretion. Judgment on the award may be entered in any court of competent jurisdiction. Each party will bear its own attorneys' fees and costs except where the arbitrator awards otherwise.
You and Brevity each waive any right to a jury trial and to participate in a class, collective, or representative action. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction in Fairfax County, Virginia, to protect its intellectual-property rights or confidential information.
14. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top of the page reflects the most recent revision. If we make a material change, we will notify active clients by email at least thirty days before the change takes effect. Continued use of the services after the effective date constitutes acceptance of the updated Terms.
15. Miscellaneous
These Terms, together with your SOW and any document expressly incorporated by reference, constitute the entire agreement between you and Brevity regarding the services and supersede all prior agreements on the same subject. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. Brevity's failure to enforce any provision is not a waiver of its right to do so later. You may not assign these Terms without our prior written consent; Brevity may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
